handl Partner Agreement
The short version
You share PALM with people who might need it. We pay you for every one that sells through your link or your code. You tell your audience the posts are paid, because that is the law and because it is the decent thing to do. Either of us can walk away whenever we like, and anything you have already earned is still yours.
The rest of this page is that in more detail. It is worth four minutes.
1. Who this is between
This agreement is between Kareem Chouiki, trading as handl, of 152 Tillermans Court, Grenan Square, Greenford, London UB6 0FS ("we", "us", "handl"), and you, the person named at the bottom of this page.
handl is in the process of incorporating as GETHANDL LTD. When that is done, this agreement moves across to the company on the same terms. Nothing about what you are owed changes, and we will tell you when it happens.
2. What you are agreeing to do
Talk about PALM honestly to people who might find it useful, using the link and any discount code we give you.
That is the whole job. There is no minimum, no quota, no exclusivity and no obligation to post at all. If you never post, nothing happens and nobody is cross.
3. What we are agreeing to do
Pay you the rate in your Partner Terms Schedule for every qualifying sale. Give you a link, a dashboard where you can see your own clicks and orders, and a real person to email. Send you a PALM to try before you say a word about it in public.
4. Your Partner Terms Schedule
Your commission rate, your discount code and the date you started are set out in a separate document called your Partner Terms Schedule. We will email it to you when we approve your application. It forms part of this agreement.
Keeping it separate means we can change a rate, add a code or fix a mistake without asking you to sign anything again. We will not reduce your rate without giving you 30 days' notice in writing, and if you do not like the new rate you can end this agreement and everything you have earned up to that point is still paid.
5. Founding partner terms
If your Schedule says you are a founding partner, it means you came in at the start, before there were reviews, before there were sales, and when agreeing to be associated with an untested product carried a real risk to your own reputation. Your rate reflects that.
It is worth being straightforward about what that does and does not mean.
a. Your founding rate holds for as long as this agreement runs, subject to clause 4.
b. It is personal to you and to this agreement. It is not attached to your audience, your channel or your account, and it does not transfer if someone else takes those over.
c. If this agreement ends and you later want to come back, you will be offered whatever terms are current at that time. Those are likely to be lower than founding terms. We are not promising that founding terms will ever be available again, and we would rather say so now than have you find out later.
None of that is meant to trap you. You can leave whenever you want. It only means that leaving and returning is a real decision with a real consequence, and you should know that before you make it.
6. Getting paid
What counts. A sale counts if the customer reached us through your link within the last 90 days, or used your discount code. If someone used a link and a code from two different partners, the link wins, because the customer's own journey is better evidence of who sent them.
The hold. Commission is held for 60 days while the refund window runs, then it is yours. A refunded order earns nothing. A partly refunded order is paid pro rata.
When we pay. Monthly in arrears, once you are owed £20 or more. Below that it rolls into the next month. If this agreement ends, we pay whatever you are owed regardless of how small it is.
How we pay. Bank transfer to a UK account in your name.
What does not count. Orders you place yourself, or that are placed to your own address. Orders that turn out to be fraudulent or are charged back. Orders that never complete.
7. Tax
You are self-employed as far as this arrangement goes and your commission is your income to declare. We do not deduct tax or National Insurance and we are not your employer. If you are VAT registered, invoice us and add VAT. handl is not currently VAT registered.
8. Saying it is an ad
This is the one part of this agreement we will not be relaxed about, and it protects you more than it protects us.
Every post, story, video or article that features PALM must be clearly labelled as an ad, in a way someone sees before they engage with it. #ad at the front of a caption. The platform's own paid-partnership label if it has one. Not buried at the end of thirty hashtags.
This applies whether you were paid, given a free product, or stand to earn commission. All three count. It is required by the CAP Code and enforced by the ASA, and undisclosed paid promotion is also a banned practice under the Digital Markets, Competition and Consumers Act 2024.
If a post is not labelled, we will ask you to fix it, and no commission is earned from an unlabelled post.
9. Things you must not do
None of this is unusual. It is here so nobody has to guess.
a. Do not make medical claims. PALM is a daily-living aid, not a medical device. Do not say or imply that it treats, cures, relieves, prevents or helps with any condition. You can say it makes pressing a soap pump easier, because that is what it does. This matters more than anything else on this list.
b. Do not invent a review. Do not write, commission or incentivise a review from someone who has not used the product, and do not offer anything in exchange for a positive one. Fake and incentivised reviews are a banned practice under the DMCC Act 2024.
c. Do not say you are handl. You are a partner, not an employee, and you cannot speak for us, quote prices we have not published, promise a customer anything, or accept an order on our behalf.
d. Do not bid on our name in paid search. No Google, Meta or TikTok ads targeting "handl", "gethandl", "PALM by handl" or close misspellings. Advertise to your own audience as much as you like.
e. Do not post your code to voucher and coupon aggregator sites without asking us first. They hoover up sales that were already coming and it makes the programme unaffordable for everyone.
f. No spam, no bought followers, no fake engagement, and nothing that would embarrass either of us. Take the ordinary meaning of that.
10. Keeping things to yourself
Light, mutual, and it does not stop you talking about the product.
You keep confidential: the contents of your Partner Terms Schedule, including your rate; anything we tell you before it is public, such as launch dates, products not yet announced, or sales figures you can see in your dashboard.
We keep confidential: everything you tell us. Your contact details, your figures, your bank details.
You are free to say that you are a handl partner, that you earn commission, what you think of the product including if you dislike it, and anything that is already public.
This does not apply to information that is already public through no fault of yours, that you already knew, or that you are required to disclose by law or by a regulator. If a regulator asks, tell them, and tell us if you are allowed to.
This clause continues for two years after this agreement ends.
11. Logos, photos and your own content
While this agreement is running you may use our name, logo and product photographs to promote PALM. Do not alter the logo, and do not use them in a way that suggests you are handl or that we endorse something else you sell. When the agreement ends, please stop using them within 14 days.
Your content stays yours. You give us permission to reshare your handl posts on our own channels with credit to you, and you can withdraw that permission any time by emailing us. Anything we have already posted, we will take down on request.
12. Your data
We hold your name, email, payment details and your partner figures in order to run the programme and pay you. We do not sell anything to anyone. The full detail is in our privacy policy at gethandl.co.uk/privacy, and you can ask us for a copy of what we hold or ask us to delete it.
13. What we are and are not to each other
This is not employment, a partnership, a joint venture or an agency. Neither of us can bind the other to anything. You are free to work with anyone else, including our competitors.
14. Ending it
Either of us can end this agreement at any time, for any reason or none, by emailing the other. No notice required, no hard feelings.
If you end it, or if we end it for an ordinary reason, we pay you everything you have earned, including commission still inside the 60-day hold once it matures.
We can end it immediately and withhold unpaid commission only if you have done something in clause 9, or generated sales dishonestly. If that happens we will tell you why in writing and give you a chance to answer.
15. If something goes wrong
We will fix mistakes. If a sale did not track and you can show us it should have, we will pay it. If we get your figures wrong, tell us and we will correct them.
Beyond that, and because this is a small business and the sums are small, our total liability to you under this agreement is limited to the commission paid or payable to you in the 12 months before the problem, or £100, whichever is higher. Nothing here limits liability for anything that cannot lawfully be limited.
16. Changes
If we change this agreement we will email you the new version at least 30 days before it takes effect. If you do not want to accept it, end the agreement and we will pay what you are owed. Carrying on posting after the date it takes effect means you accept it.
17. Law
England and Wales, and the courts of England and Wales.
